Position Overview

The Legal and Governance Officer will support the Group Company Secretary in ensuring Sea Harvest meets all regulatory, legal, and corporate governance requirements. This role involves assisting with company secretarial duties, compliance management, contract review, and regulatory risk monitoring across the Group.


Key Responsibilities

Governance

  • Provide assistant company secretarial duties and administrative support to the Group Company Secretary.
  • Assist with drafting and reviewing ordinary and special resolutions, minutes, and maintaining the resolution register.
  • Prepare board and committee meeting packs, including document collation and binding.
  • Support Annual Return filings and other CIPC-related matters.

Legal

  • Assist in designing and implementing systems and controls to ensure compliance with relevant legislation.
  • Maintain group-wide compliance protocols, regulatory policies, and review business policies from a compliance perspective.
  • Monitor implementation of legislation and regulatory requirements, ensuring corrective actions are resolved.
  • Draft and review contracts in line with company requirements and applicable legislation.
  • Conduct legal research, prepare compliance reports, and maintain awareness of laws and regulations impacting the Group.
  • Support compliance with the Protection of Personal Information Act (POPIA), Competition Act, and Consumer Protection Act.

Minimum Requirements

  • Bachelor of Laws (LLB) and admitted as a legal practitioner (essential).
  • Postgraduate qualification in Compliance (advantageous).
  • 2–3 years post-admission experience in company secretarial and compliance roles.
  • Corporate legal advisory experience (advantageous).
  • Strong analytical, legal drafting, planning, and organisational skills.
  • Proactive, self-motivated, and able to work independently under pressure.
  • Excellent interpersonal, communication, and attention-to-detail skills.
